TERMS OF USE AND DISCLAIMERS

BUILDSOS.COM

ARTICLE 1. INTRODUCTION

Welcome to BuildSOS.com, the nexus for residential and commercial builders, contractors, and associated professionals. This platform is specifically designed to facilitate interaction, provide access to a range of benefits, and streamline the self-verification process for its members. As you navigate through our site, engage with our features, and potentially opt for membership, it's important to understand our terms, policies, and the underlying principles that guide our operations. We urge you to read this Terms of Use, Disclaimer, and Hold Harmless Agreement with diligence. By accessing, using, or signing up on BuildSOS.com, you willingly accept the terms and conditions set forth in this document.

ARTICLE 2. PURPOSE OF BUILDSOS

BuildSOS is more than just a platform; it's a community-driven initiative aimed at bridging the gap between residential and commercial builders/contractors and various benefits provided by our partner entities. Recognizing the complexities of the construction and building industry, our goal is to simplify processes, offer potential financial advantages through discounts, and establish a system for builders and contractors to demonstrate their credibility via a self-verification mechanism. It's important to note that while we facilitate these connections and provide tools for verification, BuildSOS is not involved in the direct service delivery or the business practices of its members.

ARTICLE 3. NO ENDORSEMENTS

3.1. Impartiality Statement: BuildSOS operates with utmost impartiality. At no point do we endorse, champion, or preferentially promote any member, contractor, builder, or their associated services or practices over another.

3.2. Verification Endorsement: While our platform provides a self-verification service, it is not to be misconstrued as an endorsement. It is merely a facilitative tool for members to offer a level of transparency about their qualifications and credentials.

3.3. Member Autonomy: All business decisions, transactions, agreements, and interactions between users of BuildSOS.com and member contractors/builders are autonomous actions taken by those individual parties. BuildSOS neither influences nor plays any part in these independent engagements.

3.4. Limitation of Association: BuildSOS does not have any vested interest in the outcomes of member projects, nor do we receive any compensation or benefit from the services provided by members to their clients.

ARTICLE 4. SELF-VERIFICATION PROCESS

4.1. Documentary Proof: Members opting for self-verification are prompted to provide a suite of documents that may include, but are not limited to, their contractor license details, general liability insurance policy, and worker's compensation insurance policy.

4.2. Review, Not Validation: While our dedicated team conducts a comprehensive review of uploaded documents, it remains a review — a process of checking for completeness. This should not be considered a validation or authentication of the content of the documents.

4.3. Responsibility of Authenticity: The onus of the authenticity, accuracy, and legitimacy of the documents rests squarely on the members uploading them. BuildSOS acts as a repository and not as a certifying body.

4.4. Continuous Updating: As licenses and policies often have expiration dates, members are encouraged, and at times reminded, to keep their documents updated to maintain their self-verified status. However, continuous verification remains the responsibility of the individual member.

ARTICLE 5. DISCLAIMER OF WARRANTIES

5.1. Nature of Platform: BuildSOS operates primarily as a facilitative platform, aiming to connect members with potential benefits and enable a space for self-verification. It neither offers direct services nor engages in any professional partnership with its members.

5.2. No Express Warranties: At no point does BuildSOS express or implicitly guarantee, assure, or validate the credentials, services, or business practices of any of its members, notwithstanding the availability of documents or the self-verification status they might have achieved.

5.3. Absence of Endorsement: While we facilitate connections and allow self-verification, these actions should not be interpreted as endorsements of any member's professional capacity, service quality, or ethical practices.

5.4. User Discretion: Users are emphatically urged to conduct their independent research, assessments, and judgments regarding the credibility, quality, and reliability of any member, service, or information they come across on BuildSOS.

5.5. Reliability of Information: Despite our best efforts to maintain a user-friendly and accurate platform, BuildSOS cannot guarantee the uninterrupted accuracy, timeliness, or reliability of the information or services presented on its website.

ARTICLE 6. LIMITATION OF LIABILITY

6.1. Scope of Responsibility: Users accessing and utilizing BuildSOS.com should be aware that BuildSOS, along with its officers, representatives, affiliates, and partners, does not assume liability for any direct, consequential, incidental, or indirect damages or losses they might incur either from their engagement with the website or their inability to access or use the platform and its myriad services.

6.2. Exclusion from Third-party Disputes: It's paramount to understand that BuildSOS.com functions merely as a facilitator. Should any conflict, disagreement, transactional issue, or any form of engagement arise between members, or between a member and an external third party, BuildSOS's legal and financial liability remains circumscribed. The platform shall remain immune from any claim arising from actions, misrepresentations, negligence, or omissions of its users or members.

6.3. Fiscal Accountability Limitation: In line with applicable legal standards, should there arise a situation where BuildSOS.com is deemed liable, the extent of that liability, particularly in monetary terms, shall be constrained. It will not surpass any membership fees or other transactional charges (if they apply) that the aggrieved party might have rendered to BuildSOS during their tenure of association with the site.

6.4. Exemption from Unpredictable Circumstances: Users should be apprised of the fact that BuildSOS.com will not stand liable for any disruption, delay, or non-performance that might arise due to unpredictable and uncontrollable events. This includes but is not limited to natural calamities, labor strikes, civil unrest, governmental interventions, or any unforeseen impediments that transcend the realm of BuildSOS's reasonable oversight and control.

ARTICLE 7. INDEMNIFICATION

7.1. Protection from Third-Party Claims: Users agree to indemnify and protect BuildSOS, its officers, directors, employees, agents, and affiliates against any third-party claims, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising or resulting from their use of the platform or their breach of these terms.

7.2. Engaging in Defense: Users shall cooperate as fully required by BuildSOS in the defense against any such claim. BuildSOS reserves the right to assume the exclusive defense and control of any matter subject to indemnification by the user, and the user shall not, in any event, settle any claim without the prior written consent of BuildSOS.

7.3. Continuous Obligation: This indemnification obligation will survive the termination or expiration of a user's account and their use of the BuildSOS platform.

7.4. Coverage: This indemnification includes, but is not limited to, any breach of warranties, representations, covenants, or obligations the user might have agreed to in these terms, or any violation of any law or the rights of a third party.

ARTICLE 8. LEGAL RELATIONSHIP

8.1. Independent Parties: Users should recognize that BuildSOS operates solely as a neutral platform, and no action on this site establishes any form of joint venture, franchise, partnership, or employer-employee relationship between the user and BuildSOS.

8.2. Non-representative Nature: Users do not, by virtue of their membership or interaction on the platform, gain any right to act as a representative, agent, or spokesperson for BuildSOS. Furthermore, users are prohibited from making any representations, assurances, or warranties on behalf of BuildSOS.

8.3. No Binding Authority: At no point does a user acquire the authority to bind BuildSOS to any contracts, agreements, obligations, or other such engagements by virtue of using this platform.

ARTICLE 9. GOVERNING LAW

9.1. Jurisdictional Basis: All terms, conditions, and any potential disputes arising from the use of BuildSOS.com will be governed by and interpreted in accordance with the laws of the jurisdiction where BuildSOS is headquartered, without regard to its conflict of law principles.

9.2. Legal Forum: Any legal suit, action, or proceeding arising out of or related to these terms or the platform will be instituted in the courts of said jurisdiction. Users irrevocably submit to the exclusive jurisdiction of such courts in any suit, action, or proceeding.

9.3. International Considerations: For users accessing the site from locations outside of the aforementioned jurisdiction, they are responsible for compliance with all local laws, regulations, and rules, both of a general and specific nature.

10.2. Affirmative Action: Registration, continued use, or any form of engagement with the platform will be deemed as an explicit acknowledgment of this agreement and a voluntary acceptance of all its stipulations.

10.3. Full Disclosure: BuildSOS has endeavored to provide complete transparency regarding its operations, intentions, and user expectations. Users’ acknowledgment confirms their understanding and acceptance of the same.
